TERMS OF SERVICE AGREEMENT
These Terms of Service (“Agreement”) constitute a legally binding agreement between you (“User,” “You,” or “Your”) and Henderson Newspaper (“HN,” “We,” “Us,” or “Our”), governing your use of the website www.hendersonnewspaper.com (“Site”) and any services offered by HN through the Site (“Services”).
By using the Site or Services, you agree to be bound by this Agreement, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or Services. If you do not agree with any of the provisions of this Agreement or the Privacy Policy, do not use the Site or Services.
Use of the Site and Services
You may use the Site and Services only for lawful purposes and in accordance with this Agreement. You are prohibited from using the Site or Services in any way that violates any applicable federal, state, local, or international law or regulation or infringes on the rights of HN or any third party.
Account Registration and Security
To access certain features of the Site or Services, you may be required to create an account with HN. You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer or mobile device. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that your password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has been compromised.
User Content
The Site and Services may allow you to post, upload, publish, submit, or transmit content, including but not limited to text, images, videos, and audio (collectively, “User Content”). You retain all rights in, and are solely responsible for, the User Content you submit. You grant HN a worldwide, non-exclusive, transferable, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Site and HN’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that you have all rights necessary to grant the licenses granted in this section and that your User Content, and your use and provision of your User Content, will not violate any law, regulation, or right of any third party, including without limitation any right of privacy, publicity, copyright, or trademark.
Intellectual Property
The Site and Services, including all content, software, logos, trademarks, service marks, and other intellectual property appearing on or made available through the Site or Services, are owned by or licensed to HN and are protected by copyright, trademark, and other intellectual property laws. Except as explicitly provided in this Agreement or permitted by applicable law, you may not use, modify, republish, frame, print, display, perform, reproduce, license, transfer, sell, assign, post, transmit, distribute, reverse engineer, create derivative works from, or otherwise exploit any content or information from the Site or Services, in whole or in part, without the express written consent of HN.
Advertisements and Sponsored Content
The Site may display advertisements and sponsored content from third-party advertisers. You understand that the Site may receive compensation from third-party advertisers for displaying advertisements or sponsored content. You agree that HN is not responsible.
Intellectual Property Rights
The content and materials published on the Henderson Newspaper’s website, including but not limited to, text, images, graphics, videos, logos, and trademarks, are protected by intellectual property laws and regulations. Any use of the content or materials without prior written permission from Henderson Newspaper is strictly prohibited.
Indemnification
You agree to indemnify, defend, and hold harmless Henderson Newspaper, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to your use of the Henderson Newspaper’s website or your breach of these Terms of Service.
Termination
Henderson Newspaper reserves the right, at its sole discretion, to terminate your access to the Henderson Newspaper’s website, with or without notice, for any reason or no reason, including without limitation for a violation of these Terms of Service.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in Clark County, Nevada, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
Assignment
You may not assign this Agreement or any of your rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Henderson Newspaper. Henderson Newspaper may assign this Agreement or any of its rights or obligations hereunder, without your prior written consent and without notice or liability.
Entire Agreement
This Agreement, including the Privacy Policy and any other policies, rules or guidelines posted on the Site, constitute the entire agreement between you and Henderson Newspaper regarding the use of the Site and its services. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Henderson Newspaper. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will be enforced to the fullest extent possible, and the remaining provisions of the Agreement will remain in full force and effect.
Waiver and Severability
The failure of Henderson Newspaper to enforce any right or provision of these Terms of Service shall not be deemed a waiver of such right or provision. If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms of Service will remain in effect.
Changes to Terms of Service
Henderson Newspaper reserves the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting to the Henderson Newspaper’s website. Your continued use of the Henderson Newspaper’s website following the posting of the revised Terms of Service means that you accept and agree to the changes. It is your responsibility to regularly check the Henderson Newspaper’s website to determine if there have been changes to these Terms of Service and to review such changes.
BY USING THE SITE AND ITS SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT USE THE SITE OR ITS SERVICES.
